General Terms and Conditions of Business for Training Courses
Keypath Group is VAT registered under UK VAT registration number: 876 0866 80.
1. Contract Establishment
These Terms and Conditions of Business shall form part of the contract between a fee-paying attendee of a training course “the Client” and Keypath Ltd "the Company".
2. Fees, Invoicing and Payment
Fees will normally be charged on the basis set out within the prospectus for the training course on the Company’s website. Fees will be charged in advance and will be payable at least 14 days before the date of the training course. VAT, where applicable, will be added to the invoice at the prevailing rate.
Keypath Ltd reviews fees periodically. The fee rates shown on the Company’s invoice are the Company’s current rates.
Any queries concerning an invoice should be raised with the Company before the commencement date of the training course.
Wherever possible payment should be made by Paypal or BACS transfer.
In the event that invoices are not settled in full in accordance with these Terms, the Company reserves the statutory right to charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and the guidelines published by The Better Payment Practice Group.
3. Confidentiality
Information concerning the Client and the Client's business will not be disclosed by the Company to any third party without the Client's written consent, unless otherwise required by law, a Court of competent jurisdiction or by governmental or regulatory authority.
4. Ownership
The Company shall retain ownership and exclusive copyrights to any deliverables provided to the Client in the training course.
The Client shall, subject to obligations of confidentiality, be free to use any delivered documentation and apply the concepts, techniques, know-how used and developed during the training course for their own benefit but shall not use any of the aforesaid for training any third party.
As independent training consultants, the Company shall continue to be at liberty to perform similar services for other clients using the Company's general knowledge, skills, experience and personnel.
5. Liability
Keypath Ltd undertakes to exercise due care in the performance of the training course in accordance with applicable professional standards. The Company's objective is to provide a high quality professional service that fully meets the Client's expectations and requirements.
Keypath Ltd holds current Certificates of Liability Insurance to cover any civil liabilities arising from our professional activities.
6. Cancellation
The Client may cancel before the date of commencement of the training course. Should the Client need to cancel the delivery of a training course the following cancellation fees will apply:
Keypath Group Ltd may suspend a training course if, in the reasonable opinion of the Company, material circumstances adversely affect the performance of the Company's obligations under the Contract. In such cases, Clients will be offered a full refund or a place on a substitute training course.
